Agreement to Terms

Welcome to ThreadArt. By accessing or using our website, services, or purchasing any products, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.

The simple version: Be responsible with the content you upload, don't abuse the service, and we'll provide you with great artwork created from your conversations.

1. Using ThreadArt

1.1 Eligibility

To use ThreadArt, you must:

• Be at least 18 years old, or at least 13 years old with verifiable parental or guardian consent
• Have the legal capacity to enter into a binding agreement
• Comply with all applicable local, national, and international laws and regulations

1.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to access and use ThreadArt for personal and commercial purposes, subject to these terms.

You may:

• Upload chat exports for the purpose of generating artwork
• Download and save your generated artwork
• Purchase physical prints of your artwork
• Share your artwork on social media and other platforms

You may not:

• Resell, redistribute, or sublicense ThreadArt's services or generated artwork as a service
• Use automated tools, bots, or scrapers to access or interact with our platform
• Upload content that violates the privacy or intellectual property rights of others
• Upload illegal, harmful, or objectionable content

2. Your Responsibilities

2.1 Consent

This is important. By uploading a chat export, you confirm that:

• You have obtained consent from all participants in the conversation for it to be uploaded and processed
• You have the right to create and, where applicable, commercialise artwork derived from the conversation
• The content does not violate the rights, privacy, or dignity of any individual

You agree to indemnify and hold ThreadArt harmless from any claims, damages, or liabilities arising from your failure to obtain proper consent or your misrepresentation of rights to the uploaded content.

2.2 Content

You are solely responsible for the content you upload. You agree that:

• All uploaded content is accurate and lawful
• You will not upload content that is illegal, defamatory, threatening, or otherwise objectionable
• You will respect the intellectual property rights of others

We reserve the right to refuse service to anyone, at our sole discretion, if we believe content violates these terms or applicable law.

2.3 No Accounts

ThreadArt has no user accounts, logins or passwords. Orders are identified by the order reference and the email address you give at checkout; keep your order confirmation so you can quote them if you need to contact us.

3. Intellectual Property

3.1 Your Content

You retain full ownership of the content you upload (chat exports, images, etc.). By uploading content, you grant ThreadArt a limited licence to:

• Process your content for the purpose of generating artwork
• Display your content within the application (with your permission)
• Store your content temporarily as necessary for order fulfilment

3.2 Our Content

ThreadArt owns all rights to the website, software, branding, algorithms, and proprietary technology used to deliver our services. You may not:

• Copy, modify, or create derivative works of our software or platform
• Reverse-engineer, decompile, or disassemble any part of our technology
• Use our branding, logos, or trademarks without express written permission

3.3 Created Artwork

You own the artwork we create for you, both digital files and physical prints. You are free to:

• Use, display, and share your artwork in any way you choose
• Commercialise your artwork (e.g., sell prints, use in products)
• Modify or adapt your artwork

Attribution to ThreadArt is appreciated but not required.

4. Orders and Payment

4.1 Pricing

• All prices are displayed in GBP (British Pounds Sterling)
• Prices include VAT where applicable
• Prices of physical products include UK delivery. Orders to other countries carry a delivery surcharge, shown before payment
• Prices are subject to change, but orders placed before a price change will be honoured at the original price

4.2 Payment

• Payments are processed securely via Stripe
• We accept major credit and debit cards
• Payment is due immediately at the time of purchase
• We do not store your payment credentials — all card data is handled by Stripe

4.3 Order Acceptance

Your order is confirmed when you receive a confirmation email. We reserve the right to refuse or cancel any order at our discretion, including but not limited to cases of suspected fraud, content violations, or pricing errors. If we cancel your order, you will receive a full refund.

4.4 Refunds

Please refer to our Refund Policy (Section 6 below) for full details on refunds and returns.

5. Delivery

5.1 Digital Products

• Digital artwork is available for download immediately after purchase
• Formats include PNG and PDF
• Download links expire after 30 days — please save your files promptly

5.2 Physical Products

• Processing time: 3–5 business days
• UK delivery: 5–7 business days after dispatch
• International delivery: 7–14 business days after dispatch
• Tracking information will be provided once your order has been dispatched

5.3 Shipping Issues

6. Refund Policy

6.1 Digital Products

• Full refund within 24 hours of purchase if the artwork has not been downloaded
• No refund after the artwork has been downloaded, except for quality issues
• If there is a genuine quality issue, we will either fix the artwork or issue a full refund

6.2 Physical Products

Eligible for refund:

• Product is significantly different from what was shown at checkout
• Product is defective or has manufacturing flaws
• Product arrived damaged in transit

Not eligible for refund:

• Change of mind after delivery
• You didn't like how the artwork turned out (if it matches the preview)
• Minor colour variations between screen display and physical print

6.3 Refund Process

• Refunds are processed within 5–10 business days
• Refunds are issued to the original payment method
• Shipping costs are non-refundable unless the error was ours

7. Prohibited Uses

You agree not to use ThreadArt to:

• Upload conversations without the consent of all participants
• Create, distribute, or promote illegal content
• Harass, bully, or target individuals through the artwork or service
• Infringe upon the intellectual property rights of any third party
• Upload or transmit malware, viruses, or other harmful code
• Send unsolicited communications (spam) using our platform
• Scrape, crawl, or use automated means to access our services
• Resell or redistribute our services without authorisation
• Impersonate any person or entity, or misrepresent your affiliation
• Violate any applicable law or regulation

Violations may result in: immediate suspension or termination of access, cancellation of pending orders, and/or legal action where appropriate.

8. Disclaimers and Limitations

8.1 “As Is” Service

ThreadArt is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the availability, reliability, or suitability of our services for any particular purpose.

8.2 Limitation of Liability

To the maximum extent permitted by law:

• ThreadArt shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from or related to these terms or our services shall not exceed the amount you paid to ThreadArt in the preceding 12 months, up to a maximum of £500

8.3 Exceptions

Nothing in these terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded or limited under the laws of England and Wales

9. Privacy and Data Protection

Your privacy is critically important to us. Please refer to our Privacy Policy for full details on how we collect, use, and protect your data.

Key highlights:

• Chat processing happens client-side in your browser — your conversations are not sent to our servers
• We collect only the minimum data necessary to provide our services
• You have full control over your data at all times

10. Termination

10.1 By You

You may stop using ThreadArt at any time. There is no lock-in period, subscription commitment, or cancellation fee.

10.2 By Us

We may suspend or terminate your access to ThreadArt if:

• You violate these Terms of Service
• We suspect fraudulent or abusive behaviour
• We are required to do so by law or regulation
• We decide to discontinue the service (with reasonable notice)

10.3 Effect of Termination

• Any outstanding orders will be fulfilled or refunded
• Sections that by their nature should survive termination will remain in effect (including intellectual property, limitation of liability, indemnification, and dispute resolution)

11. Changes to Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated “Last Updated” date.

For material changes, we will provide notice via email or a prominent notice on our website. Your continued use of ThreadArt after changes are posted constitutes acceptance of the updated terms.

12. Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of England and Wales.

If a dispute arises, please contact us first at hello@threadart.net. We will make every reasonable effort to resolve the matter informally.

If we cannot resolve the dispute, it shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Exceptions: Nothing in this section prevents you from:

• Filing a complaint with your local consumer protection authority
• Pursuing a claim through the small claims court
• Exercising your rights under GDPR or other data protection legislation

13. General Provisions

• Entire Agreement: These terms, together with our Privacy Policy and any order-specific terms, constitute the entire agreement between you and ThreadArt.
• Severability: If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, pandemic, or disruption of utilities or telecommunications.
